Terms & Conditions

The client's approval for work to commence will be regarded as a contractual agreement between the client and AppSquadz Software Pvt Ltd. The approval can be provided in two ways: either by sending an email that confirms the quote (with the quote document attached) or by signing the quote document itself.

Note: Payment of the advance fee signifies the client's acceptance of these terms and conditions and authorizes the start of the work.

AppSquadz Software Pvt Ltd. offers 3 to 6 months of complimentary technical support and maintenance for the following types of issues:

• Server-side scripting/programming errors/bugs
• Logical bugs/calculation-related errors/bugs
• Connection errors/API integration errors

Note: Free support and maintenance will not be available if errors/bugs arise due to any external entity.

Examples:

• Server/software/application/extension downgrades or upgrades.
• Edits done in the code/apps delivered by any external entity/person/professional.
• Operating system/browser version downgrades or upgrades.
• Other factors that are not directly related to a deficiency in AppSquadz.

AppSquadz may use stock photographs and images when creating web and mobile applications. Images and graphics bought from stock libraries are not typically included in the quote and will be invoiced separately. We will keep the client informed about the stock images being used and the associated costs before issuing the invoice.

AppSquadz makes every effort to design pages that work flawlessly on the most popular current browsers, including the latest versions of Google Chrome, Apple Safari, Microsoft Edge, Mozilla Firefox, and Opera. However, we cannot guarantee compatibility with browser versions released after the completion of the design or development process. Additionally, we do not provide support for outdated or obsolete browser versions. For the best experience, we recommend using an up-to-date browser.

The following marketing services are not included as part of any project unless explicitly agreed upon in a written agreement:

• 1-2K instant app downloads.
• 5 million potential user impressions for the application.
• 10K reviews, feedback, and ratings.

Note: Any inclusion of these services will require a separate agreement and may require additional charges.

The following services will be billed separately after the Web and Mobile App go live unless otherwise agreed in writing:

• Features and functionalities add-ons
• Refinements and logical adjustments to the web and mobile application that were not previously planned or approved by the client
• Updates to content presentation and front-end design, which were not previously planned or approved by the client.

Once AppSquadz delivers the web or mobile application to the client, they (Client) will be solely responsible for the content, information, and images posted on the app. If there are any errors or omissions made by the AppSquadz team during the uploading or posting of content on the client’s web or mobile app, AppSquadz will correct these issues if they are reported to a representative.

All costs associated with third-party add-ons, services, or applications required for the project shall be borne by the client. These expenses must be paid to AppSquadz Software prior to initiating any formal application, registration, or integration process. Examples of such third-party fees include but are not limited to:

• App Store and Play Store registration fees.
• Web services development costs.
• Fees for integrating additional modules.
• Third-party SDKs required by the client.
• Third-party APIs to be incorporated into the project.
• Third-party plugins, applications, software, widgets, or services the client requests.
• Payment gateway setup fees and recurring charges.

AppSquadz Software is not liable for any ongoing costs or subscriptions related to these third-party services beyond the initial integration or setup.

For Clients Based Outside India:

• International Wire Transfers
• Credit/Debit Card Payments
• PayPal

For Clients Based in India:

• NEFT (National Electronic Funds Transfer)
• RTGS (Real-Time Gross Settlement)
• UPI (Unified Payments Interface)
• IMPS (Immediate Payment Service)
• Physical cheques mailed to our office address

Note: All payments must be made in accordance with the agreed terms and are subject to applicable taxes and transaction fees, if any.

Both parties have the right to cancel the project at any stage.

• In case the client cancels the project, the payments made can be refunded to the client after deducting the upfront payment amount received for initiating the project and the other payments received against the milestones completed.
• In case the project is cancelled by AppSquadz Software Pvt Ltd., the payments made for the project can be refunded after deducting USD 15 per hour for hours spent on the work performed for the client, including but not limited to the time spent on the project discussion, requirements gathering, project planning & documentation, project initiation, and execution. After the payments are settled between the two parties, AppSquadz shall transfer to ‘Client’ - all the documents, designs, and apps produced for the project.

AppSquadz Software is committed to meeting the project timelines as outlined in the agreement. However, unreasonable delays from the client in providing necessary feedback, information, or data may exempt AppSquadz Software Pvt Ltd. from adhering to these timelines. If the client fails to provide the required information within 15 working days, AppSquadz reserves the right to forfeit any payments made towards the project and retain such payments as full and final settlement for the work completed to date.

Additionally, if the client is unreachable or unresponsive for a period of 15 working days, AppSquadz Software Pvt Ltd. will not be obligated to deliver any project files or continue work on the project. The client admits that failure to comply with these conditions may result in project delays and the forfeiture of payments made.

The client agrees that stipulated timelines cannot be met if the app project scope has been changed after the project scope document is finalized. The client agrees not to change the requirements without extending the original agreed timelines by at least one week against each change request.

After the client makes the agreed payment for the project, AppSquadz Software Pvt Ltd. will not claim a share of the client's profits derived from the business, as well as from any potential sale of the business to another company.

AppSquadz Software Pvt Ltd. retains the copyright to all materials, including design, artwork, and source code, created during the course of the project unless agreed upon in writing by both parties. This includes any proprietary work produced by AppSquadz Software for the client.

As per the agreed terms, the client owns rights to the following items:

• Logo/Graphics/Pictures/Images provided by the client: The client retains full ownership of any logos, graphics, pictures, or images provided to AppSquadz Software Pvt Ltd. for use in the project.
• Web & Mobile App Interface/PSD/Creatives/Designs: The client owns the rights to the web and mobile app interface, PSD files, and designs only if the client has specifically ordered a custom design with exclusive rights.
• Programming Files/Source Code: The client will have exclusive rights to the programming files and source code only if the project is ordered with exclusive rights.

Unless exclusive rights are specifically agreed upon and included in the contract, the copyright and intellectual property rights to the project’s designs, programming, and source code remain with AppSquadz Software Pvt Ltd. The client does not own these rights unless specified otherwise in writing.

Unless otherwise agreed, AppSquadz Software Pvt Ltd. owns the source code and intellectual property rights and reserves the right to reuse the code for other projects.

Unless otherwise agreed, the client agrees to set up the apps delivered only on one App Store, Play Store, and localhost. However, if the client wishes to run different web and mobile apps on different App Stores and Play Stores, then the client has to purchase a separate account for each App Store and Play Store. For every new App Store & Play Store, the client has to buy a separate license.

The license comes with a 1-year expiration date as long as it is for a single App Store & Play Store. (Only for AppSquadz Software Pvt Ltd. Products)

There is a renewal/recurring license fee. However, if the client wishes to run the same Web & Mobile App on the App Store & Play Store, then the client has to purchase a separate license for each App Store & Play Store.

Unless otherwise agreed, AppSquadz Software Pvt Ltd. can use its own framework (code library in encrypted format) for web application development to make source code of our intellectual property/apps secure from other programmers, faster turnaround time, and bug-free application development. The client will be provided with detailed documentation for using the framework (code library functions). With the help of documentation provided, other programmers can modify the Web & Mobile App functionality. AppSquadz Software Pvt Ltd. framework is a collection of functions related to Database Manipulation, Images/Files Management, Paging, Form Builder, etc., which look like PHP Functions but have a different syntax than default PHP functions. Other willing and efficient PHP programmers can learn and practice these functions/frameworks within 2-4 days.

Note: In no event will AppSquadz Software Pvt Ltd. be liable to the client or any third party for any damages, including any lost profits, lost savings, or other incidental, consequential, or special damages arising out of the operation of or inability to operate these Web pages or Web & Mobile App, even if AppSquadz has been advised of the possibility of such damages. Despite the best efforts of AppSquadz, errors may occur in web page information. At no time will AppSquadz be held responsible for accidentally including erroneous information, extending beyond correcting the error.

If AppSquadz Software Pvt Ltd. chooses to waive any of these terms on an individual basis, it will not affect the validity of the remaining clauses, nor shall it obligate AppSquadz to waive the same clause in the future.

By agreeing to these terms and conditions, your statutory rights are not affected. AppSquadz Software Pvt Ltd. reserves the right to change or modify any of these terms or conditions at any time, but agreements signed prior to the updates in this agreement remain unaffected.
